1. Definitions
- "Devisely", "we", "us", "our" — Devisely, a documentation practice registered and operating in Bangkok, Thailand.
- "Service" — any workshop, package, or programme offered by Devisely, including the Orientation & Glossary Workshop, Records Organisation Package, and Archive & Memory Programme.
- "User", "you", "your" — any person who visits our website or engages our Services.
- "Agreement" — these Terms & Conditions together with any service agreement or invoice.
- "Content" — all text, documents, and materials produced by Devisely in connection with the Service.
2. Acceptance of Terms
By using our website or engaging our Services, you agree to be bound by this Agreement. Our Services are intended for individuals aged 18 and over who have the legal capacity to enter a binding agreement. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to this Agreement.
3. Description of Services
Devisely provides three educational and organisational services:
- Orientation & Glossary Workshop (฿3,500): a half-day educational session introducing inheritance terminology. Educational only; no professional advice is given.
- Records Organisation Package (฿9,000): a structured series of sessions helping households sort, label, and organise personal paperwork. Purely organisational; no professional advice is given.
- Archive & Memory Programme (฿30,000): a programme covering cataloguing, indexing, and digitisation planning for organisations and larger family holdings. Documentation and archiving only; no professional advice is given.
Services are available to clients located in or able to attend sessions in Bangkok, Thailand. Remote arrangements may be available by prior agreement.
4. User Responsibilities
- You agree to provide accurate information when making an enquiry or booking a service.
- You agree to treat Devisely team members with respect during all interactions.
- You agree not to use Devisely's outputs for any unlawful purpose.
- You agree not to reproduce or distribute Devisely's written materials without prior written consent.
- You acknowledge that decisions about documents, legal processes, or estate matters remain entirely your own responsibility.
5. Intellectual Property
All workshop materials, glossaries, templates, and written content produced by Devisely remain our intellectual property. We grant you a limited, personal, non-transferable licence to use materials delivered as part of your purchased service for your own personal or organisational use. You may not reproduce, sell, or distribute these materials to third parties.
6. Payment Terms
- All prices are stated in Thai Baht (฿) and are inclusive of applicable taxes.
- An invoice will be issued before sessions begin. Payment is due within 5 business days of the invoice date.
- Accepted payment methods will be specified on the invoice.
- Cancellation: cancellations made more than 5 business days before the first session will receive a full refund. Cancellations made within 5 business days will be subject to a 50% cancellation fee. No refund is available for cancellations made on the day of a session.
- Rescheduling requests made at least 48 hours in advance will be accommodated where possible at no charge.
7. Service Delivery Terms
- Sessions will be conducted as agreed in the service outline provided before commencement.
- Devisely reserves the right to adjust the session structure if circumstances require, provided the agreed deliverable is not materially affected.
- If Devisely needs to reschedule a session, we will provide at least 24 hours' notice and offer an alternative date.
- Deliverables (glossary, filing system summary, archive index) will be provided within 5 business days of the final session.
- Devisely does not provide legal, financial, tax, or professional advice of any kind. If any output is construed as advice by a third party, that is not the intention of Devisely and we disclaim all responsibility for such interpretation.
8. Disclaimers
Our Services are provided on an "as is" basis for informational and organisational purposes only. We make no representations that our outputs will be suitable for any particular legal, financial, or administrative process. Results and outcomes from using our materials will vary depending on individual circumstances.
9. Limitation of Liability
To the fullest extent permitted by Thai law, Devisely's total liability to you in connection with any service shall not exceed the amount you paid for that service. We shall not be liable for any indirect, consequential, or incidental losses, including losses arising from decisions made on the basis of our educational materials. This limitation does not apply to liability for fraud or personal injury caused by our negligence.
10. Indemnification
You agree to indemnify and hold Devisely harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of our Services or materials, your breach of this Agreement, or any action you take on the basis of information provided in our sessions.
11. Termination
Either party may terminate an engagement by providing written notice. If Devisely terminates due to a client's breach of this Agreement, the cancellation fee in section 6 will apply. If Devisely terminates without cause, a prorated refund of any prepaid fees will be issued. Sections 5, 8, 9, 10, 12, and 13 survive termination.
12. Dispute Resolution
In the event of a dispute, the parties agree to attempt informal resolution by contacting [email protected] in the first instance. If the dispute cannot be resolved informally within 30 days, it will be submitted to mediation under Thai law before any court proceedings are initiated. This Agreement is governed by the laws of Thailand, and any proceedings will be brought in the courts of Bangkok.
13. General Provisions
- Entire Agreement: this Agreement (together with any signed service agreement or invoice) constitutes the entire agreement between the parties.
- Severability: if any provision is found unenforceable, the remainder of the Agreement will continue in full force.
- Waiver: failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: you may not assign your rights under this Agreement without our prior written consent.
- Notices: notices under this Agreement should be sent to [email protected].
14. Changes to These Terms
We may update these Terms from time to time. The date at the top of this page will reflect the most recent revision. For existing clients under an active service agreement, changes will take effect from the next engagement unless otherwise agreed. Continued use of our website after a revision constitutes acceptance of the updated Terms.
